Service begins as soon as your initial payment is processed. You’ll be charged the rate stated at the time of purchase, every month, until you cancel. Because there’s no annual contract, your rate is subject to change, but we’ll always notify you beforehand. If you cancel within 5 days of your order, you’ll be fully refunded. Should you cancel after 5 days, your payment is non-refundable and your service will continue until the end of that month’s billing period. Payments for business services such as Social Media or Paid Search (PPC) are non-refundable. Cancellations can be made any time by visiting your Manage Account page or by contacting Autoshop Solutions.
Third Party Data Feeds: Autoshop Solutions can utilize third party data feeds but is not responsible for the data feeds operating correctly as they are a third party functionality.
Fees, Billing, and Payment: Subject to and consistent with the terms and conditions of this agreement, the Client shall pay all fees set forth in this agreement, and Autoshop Solutions shall be responsible for invoicing the applicable fees as set forth herein. Client agrees to pay Autoshop Solutions in United States dollars within 30 days total in the form of credit card for automatic draft from the date of each invoice. The Client will be charged the rate stated at the time of purchase, every month on the 3rd, until cancellation. Autoshop Solutions reserves the right to inactivate Client’s website and withhold all related files in the event invoices remain past-due beyond 30 days from the due date. Late Payment: A monthly service fee of 1.5 percent, or the maximum allowed by law, is payable on all overdue balances. All grants of any license to use or transfer ownership of any intellectual property rights under this Agreement are conditioned on full payment, including all outstanding Additional Costs, Expenses, Fees, or any other charges.
Hosting: Autoshop Solutions provides website hosting on our dedicated, secure servers as an integral part our Internet marketing platform. Hosting fees are included in your monthly service package.
Termination on Default: If a party defaults by failing to substantially perform any provision, term or condition of the Agreement (including without limitation the failure to make a monetary payment when due), the other party may terminate this Agreement by providing written notice to the defaulting party. The notice shall describe with sufficient detail the nature of the default. The party in default shall have 14 business days from the effective date of such notice to cure the default (s). Unless waived by the party providing the notice, the failure to cure the default(s) within such time period shall result in the automatic termination of this Agreement.
Taxes: Client shall pay the amount of any sales, use, excise or similar taxes applicable to the performance of the Services, if any, in lieu of such payment, Client shall provide Autoshop Solutions with a certificate acceptable to the taxing authorities exempting Client from payment of such taxes.
Governing Law/Forum: This Agreement shall be constructed in accordance with the internal laws of the State of North Carolina, without regard to conflict of law rules. Venue shall be in a court of competent jurisdiction in the State of North Carolina, and both parties expressly consent to jurisdiction in such courts.
Limitation of Liability: In no event shall Autoshop Solutions be liable to Client or any third party of any damages, including lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operating these web pages or website. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
Copyrights and Trademarks: Client represents to Autoshop Solutions and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Autoshop Solutions for inclusion in the project are owned by Client, or that Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Autoshop Solutions and its subcontractors from any claim or suit arising from the use of such elements furnished by Client.
